Vacancy for:  VP – Corporate Legal (M&A & Corporate Restructuring)

Location: Mumbai

Roles and Responsibilities:

• Corporate legal role encompassing all corporate governance, structuring, corporate compliance & legal matters for Dream11, its affiliates & parent & holding companies
• Advising the Company on the issues relating to FEMA, Cross Border Investments and Strategic Investments inside and outside of India
• Leading & supporting transactions involving drafting, negotiating, structuring, legal diligence for complex transactions, collaborating with Dream Capital CXO & legal team
• Working with external legal, accounting and other advisors to ensure quality service provided to Dream Sports
• Supporting the organisation in achieving it’s objectives while playing a leadership role
• Advising CXOs & the boards and managing statutory compliance and advising on corporate structure

Eligibility

• A minimum of 12 years of experience in the field of corporate structuring/restructuring (experience in handling issues relating to US-India structure, FDI/ODI/Round Tripping issues etc.)
• Experience in advising on matters relating to FEMA, RBI, SEBI, overseas investments, ESOPs etc.
• Strong knowledge in legal M&A including negotiation and documentation of key documents like SHA/SPA/SSA/Investor rights agreement & disclosure schedules
• Demonstrated strong on-ground execution skills, with agility & nimbleness in thought & action
