AI Assets Holding Limited (AIAHL) is a 100% Government of India PSU Company established in January 2018 under the Companies Act, 2013. Incorporated as a Special Purpose Vehicle (SPV), its primary purpose is the disinvestment of Air India Limited. AIAHL’s responsibilities include acquiring shares in identified Air India subsidiaries, non-core non-operational assets, and identified immovable properties. Additionally, it focuses on monetization from the sale/disposal of identified assets and managing its four subsidiaries. Its registered office is located at 2nd Floor, AI Admin Building, Safdarjung Airport, New Delhi -110003.

About The Role: Manager Legal & Corporate (MLC)

AIAHL is seeking one (01) eligible candidate for the post of Manager Legal & Corporate (MLC), with the place of posting in Delhi. This role is crucial for ensuring legal compliance and supporting the company’s strategic objectives.

Eligibility Criteria

To be considered for this pivotal role, candidates must meet specific eligibility requirements:

  • Age: The maximum age limit is 50 years as on the date of release of the notification.
  • Educational Qualification: A Bachelor Degree in Law (LLB) is required. Candidates with a Masters of Business Administration (MBA full-time from B School/Premiere institute) with specialization in Legal and regulatory matters are also eligible. Preference shall be given to applicants having an LLM degree OR CS with LLB.
  • Essential Experience for Legal Managers: Candidates should possess a minimum of 5 years’ post-qualification experience in Legal, Corporate governance, and compliance matters. This experience should ideally be gained in a listed company or a reputed legal firm.
    • Experience must include working on laws such as the Indian Companies Act, SEBI regulations, and other Indian corporate laws.
    • Hands-on experience in framing contracts/agreements/letters on corporate governance matters is essential.
    • Candidates should have actively worked on setting up/adapting legal and contractual matters, assisted management in framing legal policies, and handled contractual, legal, statutory, and regulatory compliances and management matters.
    • Out of the 5 years of experience, 02 years should be in a Senior Officer/Middle Managerial position.
      • For candidates from Central/State/Public Sector Enterprises, this means working at the E-2 or equivalent level and above.
      • For those from the Private Sector, 02 years should be working as a Senior Officer in the Legal Department of a reputed company.
    • Preference will be given to candidates with working experience in a Government/PSU organization.
  • Key Skills and Abilities: The ideal candidate will have a flair for research and analysis, ability to draft crisp high-quality reports in Word and PowerPoint, hands-on experience in MS Excel, strong communication skills in Hindi and English, and the ability to work in a team, handle long hours, and work-stress.

Key Responsibilities

The selected Manager Legal & Corporate will undertake a diverse range of duties, including but not limited to:

  • Managing under the supervision of the Chief of Personnel & Admin, CoP&M/CFO.
  • Assisting in legal compliances and setting up policies and planning tools to achieve company goals.
  • Ensuring a robust framework of documentation for a compliant governance management plan.
  • Assisting in framing and updating corporate governance and administrative corporate policies & control, and handling Corporate affairs matters.
  • Coordination with Government agencies and related matters.
  • Framing of tenders, agreements, contracts, compliances, representation letters, corporate guarantees, property acquisition or sale/disposal related documents, title registration, transfer of ownership, and lease agreements.
  • Engaging 3rd party outsourcing/legal retainers/counsels for legal advice as and when required.
  • Assisting the management team in contractual and legal formalities and documentation for properties owned and leased for properties monetization.
  • Performing any other jobs/activities assigned by the top management.

Compensation and Employment Tenure

The Monthly Salary & Emoluments (Cost to Company) for this post is Rs. 100,000. This breaks down into a Salary of Rs. 85,000 and Allowances of Rs. 15,000 (including out-of-pocket taxable allowances for fuel, transport, and telephone). An annual increment of 3% p.a. on the Salary amount is applicable, subject to satisfactory annual performance appraisal reports.

The selected candidate will be appointed on a Fixed Term Employment Contract for a period of three (3) years. This tenure is extendable annually by another two (2) years, based on satisfactory annual performance review reports. The company reserves the right to extend or curtail the tenure, or terminate the contract at management discretion for unsatisfactory performance.
